Phil, It would appear from the lack of response that The Trust would have appeared to have decided to Abort this years meeting. Possibly to avoid futher embarassment, but more likely to avoid Roweyp asking any more ambiguous questions.

The Trust AGM will be in September/October.

I don't have any information yet on the Club (Blenheim 1862) AGM.

Does that mean it will be another ad hoc affair without Trust member involvement?

Phil,

Surely that is a question for the Club Board rather than the Trust? They are responsible for meeting their obligations to their shareholders (including the Trust).

If the majority shareholder is unhappy with the Club Board, it is in a position to act.

Is this not a reasonable way to contact our representatives on the club board?

There is no date yet for the club AGM.
Last year it was in August. The club needs to give shareholders a minimum of 21 days notice of the meeting.

Jolly good, the Trust has a history of arranging meetings for members at short notice. What better time for our directors to tell us what they've been doing and what their plans are.

I'm just passing on the information I have and answer your original question. Phil.

A Blenheim 1862 AGM is not imminent, it could be as much as 4 months away.

Apart from the Trust members' involvement at the AGM. I've been riding that hobbyhorse for years.

Hi Nige,

are you able to tell me what Blenheim's Articles of Association say about the timeframe for holding the AGM are? I don't remember reading Blenheim's AofA, but the ones I have seen usually state that the AGM must be held within a couple of months after the year end.

Thank you for your efforts and patience so far,

Phil

And what better way to confirm your interest and commitment than by joining the Trust?

Phil,

Info from the Trust Secretary.

The year end is 30th June. The Directors then have ten months to file the accounts with Companies House. There is no specific mention in the Blenheim 1862 Ltd. Articles regarding the date and purpose of an AGM.

I think as majority shareholder we should propose an annual date or at least a period of say a week for the AGM to be held each year
