I suspect that if The Trust cannot organise a simple News Letter on time the chances of arranging an Auditor, preparing The Accounts or even sorting out a date for The A.G.M. are far to advanced for this Bunch to Organise.

I have to say I have not had my Subscription taken from my Bank Account, I stopped the Standing Order, Smart Boy.

Another week goes by without a reply,
Both Margret & Glenn are heard too sigh,
A voice shouting loudly is heard from The Kop,
Come on all you Trust Members this is your lot,


The News Letter is taking many months too long,
We'll give you a Chorus of The Wheelbarrow Song,
The Subs will be due in one week or two,

What a farce, where are our 'elected' representatives? Maybe we should discuss this situation with the local press?

I know this may be a silly question to pose to our Esteem Trust Board at this moment in time whilst they are busy sifting through the Membership Renewals & toting up the Subscriptions for the accounts, as you do.

But, any idea as to when we might be privy to the News Letter or is that asking a too much at this moment in time Glenn & Margaret.

Annual General Meeting 28th October 2010

Please find attatched details of this year’s AGM.

This year has been very challenging for the Trust. Basically it has been ticking over for 12 months and now needs a clear steer on its future. In my opinion, the priority has to be to get a viable Board up and running. Without that, nothing else can happen.

I would like to pay tribute to everyone who, knowing the position, contributed in one way or another.

The organisation of this year’s AGM has been particularly daunting. In the absence of a properly constituted Board, I have had to make some judgements.

A "normal" Board Election is not possible because there is no Board to organise it or to appoint a Group to organise it. Members are therefore being asked to submit nominations. The maximum total number for a Board is 18. All nominations will be reported to the AGM.

Similarly, any motions could not be debated without a Board input. I am sure if there are burning issues, the new Board will get to grips with them.

I can assure you that I believe that the rules requirements of the AGM will be met.

This is the formal notice of the AGM and no other notice will be issued. All documents available will appear on the web site and will be available, as normal, at the AGM.

As well as Trust AGM Information, also attached is a Trust statement together with a board nomination form.

This is probably my last communication with members. Can I say it has been a privilege to have been involved.

Thought there were some interesting comments made in the documents put out:

"At the Trust’s last AGM, its Board ended up with just three elected Board members (Glenn Rolley, Margaret Cobb and David Peck) because nobody else had come forward for election. This meant that the Board was unable to act as it was because there were not enough Board Members. We have tried but have not succeeded in getting the number up to a legally appropriate number. That has meant that the Trust has not been able to comment definitively on anything and has been able to only answer administrative queries. This was particularly irksome last December when unsubstantiated allegations were being made about the conduct of the Trust during its period of being majority shareholder in the Club."

"It is worthy of mention that Glenn Rolley had great difficulty in getting Companies House issues surrounding his former Directorship resolved when Munto took over. The upshot was that he subsequently lost his livelihood because of inaccuracies appearing in the Press."

"We have been asked about what actually transpired during the Munto take over. We can confirm that the information put out to members of the Trust was a complete account of what was known.
 The Trust had received assurances from the Club (as detailed in the document sent to members at the time) that appropriate checks had been made and that due diligence had been performed.
 The identities of the Munto investors were not known to the Club or the Trust.
We can also confirm that the shares were gifted to Munto (as members had voted for). There was no “sale”."

For me, the level of "due diligence" demonstrated remains a serious issue, given what did transpire.
